Duckcheck Terms of Service

1. Introduction and Acceptance
Welcome to Duckcheck, a business verification and onboarding platform that provides B2B compliance infrastructure, including KYC-as-a-service and verification solutions. These Terms of Service ("Terms") govern your use of the Duckcheck platform, services, and related technology made available through our website atwww.duckcheck.comand through our application programming interfaces (APIs), software development kits (SDKs), and other technical integrations (collectively, the "Services").
By accessing, using, or integrating with any part of our Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such an entity to these Terms, in which case "you" or "Client" refers to such entity.
IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT USE THE SERVICES.
2. Key Definitions
For the purposes of these Terms, the following definitions apply:
- "Agreement" means these Terms of Service, together with any Data Processing Agreement, Privacy Policy, and other applicable policies or agreements between you and Duckcheck.
- "API" means Duckcheck's application programming interface that allows you to integrate our Services into your platform or systems.
- "Authorised User" means any individual authorised by you to access and use the Services on your behalf.
- "Business Data" means information about businesses, including but not limited to company registration documents, beneficial ownership information, and corporate structure data.
- "Client" or "you"** means the entity or individual that has agreed to these Terms and uses the Services.
- "Client Data" means all data, information, and content that you provide to or through the Services, including Personal Data and Business Data.
- "Confidential Information" means any information disclosed by either party that is marked as confidential or that would reasonably be considered confidential under the circumstances.
- "Data Controller" means the entity that determines the purposes and means of processing Personal Data.
- "Data Processor" means the entity that processes Personal Data on behalf of and under the instructions of a Data Controller.
- "Documentation" means Duckcheck's technical documentation, user guides, and other materials made available to you in connection with the Services.
- "End User" means individuals whose data is processed through the Services, including customers, clients, or users of your platform or services.
- "KYB" means "Know Your Business" verification and compliance processes.
- "KYC" means "Know Your Customer" verification and compliance processes.
- "Personal Data" means any information relating to an identified or identifiable natural person, including biometric data, identity documents, and verification records.
- "SDK" means Duckcheck's software development kit that enables integration of our Services into your applications.
- "Services" means all products, services, APIs, SDKs, and technology provided by Duckcheck, including identity verification, business verification, compliance screening, and related services.
- "Subscription Plan" means the specific service package and pricing tier selected by you.
- "Verification" means the process of confirming the authenticity and validity of identity documents, business information, or other data through our Services.
3. Eligibility
To use Duckcheck, you must:
- Be at least 18 years old
- Operate a legitimate business
- Not be on any sanctions or embargo lists
- Comply with all applicable laws
We may verify your identity and business before providing access.
4. Our Service
What We Provide
Duckcheck offers identity and business verification services including:
- Document verification
- Business registration checks
- AML/sanctions screening
- API access for integration
Service Availability
- We provide the Service on an "as available" basis
- We'll try our best to maintain reliable service, but cannot guarantee 100% uptime
- We may update or modify features with reasonable notice
- Service availability varies by region and is subject to local laws
What We Don't Provide
- Legal advice or compliance consulting
- Guarantees about verification accuracy
- Decisions about whether you should accept/reject customers
- Insurance against fraud or customer misrepresentation
5. Your Account and Responsibilities
Account Security
You're responsible for:
- Keeping your login credentials secure
- AML/sanctions screening
- API access for integration
Your Legal Obligations
You must:
- Get proper consent from End Users before collecting and processing their data
- Comply with privacy laws (GDPR, CCPA, local regulations)
- Provide clear privacy notices to End Users about data collection
- Use accurate information in verification requests in verification requests
- Follow our Documentation for API usage
- Respect usage limits in your subscription plan
What You Cannot Do
Don't:
- Use the Service for illegal purposes
- Provide false or misleading information
- Attempt to hack or reverse engineer our Service
- Resell our Service without authorization
- Remove or alter any proprietary notices
- Use the Service to harass, abuse, or discriminate
- Transmit malware or harmful code
6. Data Protection and Privacy
How We Process Data
- You are the Data Controller for your End Users' data
- We are the Data Processor acting on your instructions
- We process data only as necessary to provide the Service

International Data Transfers
We may transfer data internationally to provide the Service. We use appropriate safeguards like Standard Contractual Clauses where required by law.
Data Subject Rights
You're responsible for responding to your End Users' data requests (access, deletion, etc.). We'll assist you as needed.
Security
We implement industry-standard security measures including:
- Encryption in transit and at rest
- Access controls and authentication
- Regular security assessments
- Incident response procedures
Data Breaches
If we discover a security breach affecting your data, we&aposlll notify you within 48 hours and provide details to help you meet your own notification obligations.
Data Retention and Deletion
- You control retention periods through your account settings
- After termination, you have 30 days to export your data
- We'll delete your data within 30 days after the export period, except where we must retain data for legal compliance
- We may retain anonymized analytics data
7. Pricing and Payment
Subscription Fees
- Fees are based on your selected plan (see www.duckcheck.com/pricing)
- Payment is due monthly or annually as selected
- Fees are in USD (or local currency where applicable)
- We may change fees with 30 days' notice; changes apply at your next renewal
Payment Terms
- Payment due within 30 days of invoice
- Late payments may incur 1.5% monthly interest
- We may suspend Service for payments more than 15 days overdue (after notice)
Refunds
- Fees are generally non-refundable
- If we materially breach these Terms and don't fix it, you may terminate and receive a pro-rated refund of prepaid fees
- We may provide refunds at our discretion for other reasons
8. Intellectual Property
Our IP
We own all rights to the Service, including software, algorithms, documentation, and branding. You may not copy, modify, or create derivative works.
Your Data
You retain ownership of your data. You grant us a license to use your data solely to provide the Service.
Feedback
If you provide suggestions or feedback, we may use it freely without compensation.
9. Disclaimers
IMPORTANT - PLEASE READ:

- VERIFICATION RESULTS ARE INFORMATIONAL ONLY - YOU REMAIN RESPONSIBLE FOR YOUR DECISIONS
- WE DO NOT GUARANTEE THE ACCURACY OF THIRD-PARTY DATA SOURCES
- WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE TO THE EXTENT PERMITTED BY LAW
10. Limitation of Liability
Liability Cap
Our total liability to you shall not exceed the fees you paid us in the 12 months before the claim arose.
Excluded Damages
We are not liable for indirect, consequential, special, or punitive damages, including lost profits, lost data, or business interruption.
Exceptions
The above limitations don't apply to:
- Death or personal injury from our negligence
- Fraud or fraudulent misrepresentation
- Liability that cannot be limited by law
11. Indemnification
You'll defend us against claims arising from:
- Your violation of these Terms
- Your violation of applicable laws
- Your End Users' claims about data processing
- Your content or data
We'll defend you against claims that our Service infringes third-party intellectual property rights (when used as intended).
12. Terms and Termination
Term
These Terms start when you create an account and continue until terminated.
Termination by You
You may terminate anytime by:
- Canceling your subscription in your account settings
- Emailing us at hello@duckcheck.com
- Giving 30 days' notice for annual plans
Termination by Us
We may terminate immediately if you:
- Materially breach these Terms
- Fail to pay fees
- Engage in illegal or fraudulent activities
- Violate others' rights
We may terminate with 30 days' notice for any reason.
After Termination
- Your access ends immediately
- Outstanding fees become due
- You have 30 days to export your data
- We'll delete your data per our retention policy
13. Changes To These Terms
We may update these Terms from time to time. We'll notify you of material changes by:
- Email to your account address
- Notice on our website
Material changes take effect 30 days after notice. Continued use after that means you accept the changes. If you don't agree, you may terminate your account.
14. General Provisions
Entire Agreement
These Terms, together with our Privacy Policy and any Order Form you sign, constitute the entire agreement between us.
Governing Law
These Terms are governed by the laws of England and Wales.
Disputes
For disputes:
- First, contact us at legal@duckcheck.com to resolve informally
- If unresolved after 30 days, either party may pursue arbitration or litigation in England and Wales
Assignment
You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger or acquisition.
Severability
If any provision is unenforceable, the rest remains in effect.
No Waiver
Our failure to enforce any right doesn't waive that right.
Force Majeure
Neither party is liable for delays due to circumstances beyond reasonable control (natural disasters, pandemics, government actions, etc.).
